Welcome to The Next Chapter.
We're Parth and Emily Kalaria, the husband-and-wife team behind Kalaria Law. As attorneys, we spend a lot of time helping our clients navigate major transitions—whether that’s growing their business, selling their business, or preparing to pass their legacy down to those who matter the most. Each milestone is the start of a brand-new chapter, and this newsletter is an extension of that same idea.
Every other week, we’ll recap the latest article on our blog, provide practical, actionable advice for business owners, and share some food for thought.
We promise to keep it brief, insightful, and free of heavy legal jargon. If a question ever comes to mind while you're reading (law-related or not), our inbox is always open.

Beyond the Highest Bidder: Choosing the Right Buyer for Your Business
When it’s time to sell your business, the biggest check isn’t always the best deal. The type of buyer you choose can affect what you can expect during negotiations and diligence, how and when you get paid, and how long you stay involved after the deal closes. From strategic buyers focused on synergies, to financial buyers focused on economic performance, to internal buyers focused on preserving the brand’s legacy, the right fit depends on what matters most to you.
Introducing: Candidly, Kalaria Law
“That's a business question, not a legal one.”
If a lawyer has ever said that to you, you may be entitled to compensation.
In all seriousness, you might have felt like the person who’s supposed to be in your corner just handed you off.
A good transactional lawyer isn’t just a document drafter. We sit across the table from founders, sellers, and buyers during some of the highest-stakes moments of their lives. To us, being a lawyer means engaging with the whole picture, not hiding behind the parts that fit neatly in a legal statute.
That is the spirit behind our new series: Candidly, Kalaria Law.
We’ll step outside the legal lane to share honest perspectives on the things that actually keep business owners up at night:
- Practical strategies for managing stress over the long haul
- Frameworks for better decision-making under pressure
- Recognizing the early stages of founder burnout
- Handling imposter syndrome as an entrepreneur
- Processing uncertainty when a deal falls through
- Defining what “enough” looks like for your personal finances
- Succession and the emotional side of handing off what you built
- Difficult conversations with partners, employees, and vendors
None of this is legal advice, just perspectives from people who spend their days helping business owners navigate hard decisions.
Candidly,
Kalaria Law

Food for Thought
As lawyers, being life-long learners is practically in our job description. But for us, that curiosity doesn’t stop with contracts and code sections—it extends to the world around us. This section highlights fun facts and great food we’ve discovered outside the office.
On Our Minds: The French National Team.
We were absolutely devastated to watch France lose to Spain in the World Cup semifinals, right in our own backyard. But it did get us looking into the history of their iconic jersey. If you’ve ever wondered why a rooster is featured on the French kit, it all comes down to an ancient linguistic pun. In Latin, Gallus means both “rooster” and “resident of Gaul”. For centuries, French rulers and revolutionaries alike embraced the mascot as a badge of bravery and defiance. Allez les Bleus!
On Our Plates: Baonecci Ristorante.
Since recently moving to Frisco, we’ve been on the hunt for our go-to Italian spot. Baonecci instantly won us over. Not only do they actually list a Hugo Spritz on their menu (a rare sight in DFW), but legend has it, they are also one of only four restaurants in North Texas owned and operated by a family straight from Italy. Mamma Stefania trained in Florence and runs the kitchen daily.
We ordered the bufalina and salamino piccante pizzas and loved how fresh the ingredients tasted, how crispy and light the crust was, and how we didn’t feel like death afterwards. We even had room for dessert, opting for the torta del giorno (pie of the day): jammy strawberries in a buttery shortbread crust, essentially the world’s best version of a Pop-Tart.
Before You Check Out
If your business was approached by a buyer tomorrow, which of these three outcomes matters most to you?
The Payout: Walking away with maximum cash at closing.
The People: Ensuring your current employees keep their jobs.
The Role: Staying on after closing to help run the company.
Knowing your primary goal now completely changes how you evaluate a future deal.
Here’s to the next chapter,
